Terms of Service

The agreement

These Terms of Service ("Terms") are an agreement between you and Talli Scoreboard LLC, a Delaware limited liability company ("Talli," "we," "us"). They cover your use of the Talli mobile app, talliapp.com and related services (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use Talli.

Who can use Talli

• You must be at least 13 years old to use Talli.
• If you're under 18 (or the age of majority where you live), you may use Talli only with the permission of a parent or guardian who agrees to these Terms for you.
• You must be an adult to use payout or settle-up features. See Payouts & settling up.
• You can't use Talli if you've been banned from it before, or if the law prohibits you from using it.

Your account

Give us accurate information, keep your sign-in details secure, and don't share your account. You're responsible for activity on your account. Don't impersonate anyone, and don't choose a username that's offensive or misleading or that infringes someone else's rights. Tell us right away at hello@talliapp.com if you think someone else has accessed your account.

Game records

Talli is a scoreboard you and your friends keep. Results are entered by players, not verified by Talli.

• Only record games that actually happened, with the real participants and results.
• A recorded game is shared with everyone in it and becomes part of their history too. That's why some records can't be edited or deleted after they're submitted.
• Players can flag a game they disagree with. Talli doesn't referee disputes. Work it out with your friends — or settle it with a rematch.
• Stats, rankings, trophies and records are for fun. We don't guarantee that they're accurate or complete.

Payouts & settling up

• The optional payout feature lets players record a friendly amount on a game and keep a running tab. Talli doesn't collect, hold, guarantee or enforce any of these amounts.
• "Settle up" may open a third-party payment app, such as Venmo, with details filled in for you. Any payment you make there is between you and the other person, under that app's terms. "Mark as settled" only updates the tab in Talli.
• Talli is not a gambling, betting or wagering service. You're responsible for following the laws that apply to you, and the rules of any payment app you use. Some payment apps don't allow payments related to gambling. Don't use payout features where friendly wagers are illegal.
• Payout and settle-up features are only for people 18 or older (or the age of majority where you live).
• Talli isn't responsible for any amount owed, paid, unpaid or disputed between users.

Your content

"Your content" means what you add to Talli, such as your profile photo, game notes, team names, reactions and messages. You own your content. You give Talli a worldwide, non-exclusive, royalty-free license to host, store, copy, display and share your content in order to run, improve and promote the Service. This includes showing it to the other people in your games and to your friends. This license ends when your content is deleted, except for content that has been shared with others as part of a shared game record (see our Privacy Policy), and except where we must keep it by law.

You confirm that you have the rights to the content you add, and that it doesn't violate these Terms or anyone else's rights.

Play fair

When you use Talli, don't:

• harass, threaten, bully or abuse anyone, or post hateful, sexual, violent or illegal content. Trash talk is welcome, but keep it friendly;
• record fake games, or add people to games they didn't play in, to mislead or hurt someone;
• use other people's personal information, such as phone numbers found through contacts, for anything other than connecting on Talli;
• spam, scrape, copy or collect data from the Service, or access it with bots or automated tools;
• hack, overload, reverse engineer or interfere with the Service or its security, or get around any limits or protections;
• break the law or infringe anyone's intellectual property or privacy.

We may remove content or limit accounts that break these rules. To report a problem, email hello@talliapp.com.

Gloat packs & purchases

• Some gloat packs are free. Others can be bought in the app. Prices are shown in the app before you buy.
• Purchases are made through the Apple App Store or Google Play and are subject to their terms. The store handles payment. We don't see your payment details.
• When you buy a pack, you get a personal, non-transferable license to use it in Talli. Packs have no cash value and can't be sold, traded or exchanged for money.
• All sales are final, except as required by law or by the store's refund policy. Request refunds from Apple or Google. If a purchase is refunded or reversed, we may remove the pack.
• Use "Restore Purchases" in the app to restore packs on a new device signed in with the same store account.
• We may change, add or retire packs. If we retire a paid pack, you'll keep access to it for as long as we operate the feature.

Third-party services & offers

Talli may link to or work with services we don't control, such as Apple and Google sign-in, app stores, Venmo, and sponsors' offers. Your use of them is governed by their terms and policies. We aren't responsible for their content, products or practices, and an offer appearing in Talli isn't an endorsement.

Talli's rights

The Service, including the Talli name, logos, design, illustrations, gloat packs and software, belongs to Talli and its licensors and is protected by law. As long as you follow these Terms, we give you a personal, limited, non-exclusive, non-transferable, revocable license to use the app for your own non-commercial use. If you send us feedback or ideas, we may use them without owing you anything.

Ending your use

You can stop using Talli and delete your account at any time in the app under Edit Profile → Delete Account. We may suspend or end your access if you break these Terms, if the law requires it, or to protect Talli or other users. We may also change or stop offering any part of the Service. Sections that by their nature should survive termination will survive, including your content license for shared records, payouts, disclaimers, limitation of liability, indemnity and disputes.

Disclaimers

The Service is provided "as is" and "as available." To the fullest extent the law allows, Talli disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement. We don't promise that the Service will be uninterrupted, error-free or secure, or that stats and records will be accurate. Talli is not responsible for the games you play: play safely and within your limits.

Limitation of liability

To the fullest extent the law allows, Talli and its owners, team members and partners will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, profits, money owed between users, or goodwill, arising from or related to the Service. Our total liability for any claim related to the Service is limited to the greater of (a) the amount you paid us in the 12 months before the claim or (b) US $50.

Some places don't allow these limits, so they may not all apply to you. Nothing in these Terms limits liability that can't be limited by law.

Indemnity

If someone brings a claim against Talli because of your content, your misuse of the Service, your violation of these Terms or the law, or payments or disputes between you and other users, you agree to defend and indemnify Talli against that claim and the costs that result, to the extent the law allows.

Disputes & governing law

If you have a problem with Talli, please email hello@talliapp.com first. Most issues can be sorted out quickly that way. These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in New Castle County, Delaware, and you and Talli consent to those courts' jurisdiction. Either of us may bring a qualifying claim in small-claims court instead. If you live in the EU or UK, you also keep the protection of the mandatory laws of your country and may bring claims in your local courts.

App store terms

If you downloaded Talli from the Apple App Store:

• These Terms are between you and Talli, not Apple. Apple isn't responsible for the app or its content.
• Apple has no obligation to provide maintenance or support for the app.
• If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). To the extent the law allows, Apple has no other warranty obligation for the app.
• Apple isn't responsible for any claims about the app, including product liability claims, claims that the app fails to meet legal or regulatory requirements, consumer-protection or privacy claims, or claims that the app infringes someone's intellectual property.
• You confirm that you're not located in a country subject to a U.S. government embargo, and that you're not on any U.S. government list of prohibited or restricted parties.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

If you downloaded Talli from Google Play, Google Play's terms also apply to your use of the store.

General

We may update these Terms. If we make significant changes, we'll tell you in the app or by email before they take effect. If you keep using Talli after that, you accept the new Terms. These Terms and our Privacy Policy are the entire agreement between you and Talli about the Service. If any part is found unenforceable, the rest stays in effect. If we don't enforce a term right away, we haven't waived it. You may not transfer these Terms to anyone else. We may transfer them as part of a merger, acquisition or sale of assets.
